Faison Gibson has more than 20 years of experience representing clients in sophisticated real estate and corporate transactions. She regularly assists clients in the acquisition, development, financing, subdivision, zoning, leasing, and sale of real property, including the formation of planned communities, condominiums, timeshare and fractional interest projects, shopping center facilities, office complexes, mixed-use developments, and marina regimes.
Ms. Gibson represents both developers and owner associations on a wide variety of legal matters including transition issues, community governing documents, and resolution of community issues and disputes. She negotiates and prepares all forms of real estate and loan documentation on behalf of buyers, sellers, lenders, landlords, and tenants. Her work includes regulatory compliance, community governance, complex title examinations and curative actions, and a wide variety of zoning and land use matters.
In our community, Ms. Gibson has served on several executive boards for organizations that promote economic development, including the Greater Wilmington Chamber of Commerce and the New Hanover County Airport Authority that operates the Wilmington International Airport (ILM).

Professional Experience
- Represented an ownership group for more than 20 years in the acquisition and development of an approximately 4,500-acre master-planned residential and commercial community expected to include over 8,000 homes at completion.
- Represented an ownership group for more than 15 years in the acquisition and assemblage of more than 20 tracts totaling over 400 acres for development of a large-scale master-planned waterfront and marina community.
- Represented an ownership group for more than 10 years in the acquisition, assemblage, leasing, and $16 million sale of a commercial real estate portfolio consisting of multiple parcels, multiple buildings, and more than 25 leases.
- Represented seller with an $80 million sale transaction involving a private marine bulk port facility.
- Represented a manufacturer in connection with a $65 million multi-state and international credit facility involving operations and assets across multiple jurisdictions.
- Represented the buyer/borrower in a $44 million in acquisition and development financing for a 2,000-acre mixed-use residential and commercial development.
- Represented parties in a $30 million joint venture for apartment and assisted living development.
- Handled a $22 million sale-leaseback transaction involving multiple medical office properties.
- Represented a borrower in a $10 million acquisition and construction financing for a mixed-use development that included multifamily residential components.
- Served as lead counsel in an $8 million educational facilities revenue bond transaction.
- Closed a $4 million asset acquisition and financing involving farm and real property located in six Eastern North Carolina counties, acquired from multiple sellers in bankruptcy proceedings.
- Represented clients in numerous commercial real estate and asset acquisition transactions involving restaurants, breweries, hotels, marinas, self-storage facilities, and automobile dealerships.
